No order is deemed accepted by us until we confirm acceptance in writing. Order confirmation will typically be sent via email. The contract between you and BoPin is formed only when we send you written confirmation.
All prices are quoted in the currency specified in our quotation. Prices are valid for the period stated in the quotation unless otherwise specified. Prices may be subject to change due to factors including but not limited to raw material costs, exchange rate fluctuations, or changes in import/export duties.
Payment terms will be specified in our quotation and order confirmation. Standard payment methods include bank transfer (T/T) and letter of credit (L/C). Payment must be made according to the agreed terms. We reserve the right to charge interest on late payments at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
Prices quoted do not include any applicable taxes, customs duties, import tariffs, or other governmental charges unless specifically stated. The buyer is responsible for all such charges, unless otherwise agreed in writing.
Shipping terms (Incoterms) will be specified in our quotation and order confirmation. Standard shipping terms include FOB, CIF, and EXW, but other terms may be available upon request.
Any delivery dates provided are estimates only and not guaranteed. We will make reasonable efforts to meet delivery dates but are not liable for any delays in delivery. Delivery times may be affected by factors including but not limited to production schedules, shipping availability, customs clearance, and force majeure events.
Risk of loss passes to the buyer according to the agreed Incoterms. Title to goods passes upon full payment, unless otherwise specified by the applicable Incoterms or agreed in writing.
The buyer must inspect all products upon delivery and notify us of any visible defects, shortages, or non-conformity within 7 days of receipt. Failure to provide such notification constitutes acceptance of the products.
Returns are accepted only for defective products that do not meet the specifications provided in our documentation. Returns must be authorized in writing by BoPin before any product is returned.
To request a return, contact kris@bopinchem.com with details of the order, product, and reason for return. If approved, we will provide return shipping instructions. Unauthorized returns may be refused.
If a return is approved and products are confirmed to be defective, we will, at our option, either replace the products or issue a refund for the purchase price. Refunds will be issued using the original payment method.
We warrant that products supplied will, at the time of delivery, conform to the specifications provided in our documentation. This warranty is in lieu of all other warranties, express or implied.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Any technical advice or recommendation provided by us regarding application, storage, or handling of products is given without warranty and we assume no obligation or liability for the advice given or results obtained. All such advice is accepted at the buyer’s own risk.
IN NO EVENT SHALL BOPIN CONSTRUCTION CHEMICALS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, WHETHER BASED ON TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR MAXIMUM LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR ANY PRODUCTS OR SERVICES, WHETHER BASED ON TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR ANY OTHER LEGAL THEORY, SHALL BE LIMITED TO THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCTS OR SERVICES GIVING RISE TO THE CLAIM.
THE LIMITATIONS OF LIABILITY IN THIS SECTION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND SHALL SURVIVE FAILURE OF ANY EXCLUSIVE REMEDIES PROVIDED IN THESE TERMS.
You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and trade and economic sanctions maintained by the U.S. Treasury Department’s Office of Foreign Assets Control.
You agree to comply with all applicable laws and regulations in the countries where you import, distribute, or use our products, including but not limited to regulations regarding chemical substances, hazardous materials, health and safety standards, and environmental protection.
You represent and warrant that you are not located in, under the control of, or a national or resident of any country or region subject to U.S. or other applicable trade embargoes or sanctions, and that you are not on any prohibited or restricted party lists.
If a dispute arises from or relates to these Terms or your use of our services, you agree to first contact us at kris@bopinchem.com and attempt to resolve the dispute informally.
If the dispute cannot be resolved informally, both parties agree to resolve any claim, dispute, or controversy arising out of or in connection with these Terms through binding arbitration in accordance with the rules of the International Chamber of Commerce. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or a waiver of any other term, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction.
We will not be liable for any failure or delay in performance of our obligations under these Terms that is caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, war, terrorism, riot, civil unrest, government action, strikes, labor stoppages, or other force majeure events.
We reserve the right to modify these Terms at any time. All changes are effective immediately when posted on this website. Your continued use of the website following the posting of revised Terms means you accept and agree to the changes.
